Begin with the proposed activity

India market entry starts with understanding what the business will do, who will invest, where decisions will be taken and how funds will move.

Before incorporating an entity, review the sector, investor and beneficial-owner jurisdictions, proposed ownership and any approval conditions. Incorporation alone does not authorise every business activity or foreign investment.

Talwar Zone helps organise the India-side facts, documentation and compliance dependencies, with appropriately authorised professionals involved where required.

Choose the operating structure

Indian company: A subsidiary or incorporated joint venture can undertake activities permitted by its objects, sector rules and licences. Foreign investment requires assessment under the applicable entry route, sectoral limits, pricing and ownership conditions.

LLP: Foreign investment is permitted in eligible sectors allowing 100% investment under the automatic route without FDI-linked performance conditions. An LLP should not be selected merely because its governance appears simpler.

Branch, liaison or project office: These operate under separate FEMA conditions. A liaison office has a representative role and cannot be treated as an ordinary revenue-generating business. A project office needs a qualifying project and applicable establishment conditions.

NRI and OCI investment must also be classified by repatriation basis; nationality and residence labels alone do not determine its FEMA treatment.

Prepare the records

  • Proposed activities, ownership chart and beneficial-owner information.
  • Foreign parent’s constitutional documents and authorising resolutions.
  • Subscriber, director or designated-partner identification and address records.
  • Registered-office evidence and owner consent.
  • Capital, funding, projected transactions and banking plan.
  • Country-specific document authentication requirements.

Notarisation, apostille and consular requirements depend on the applicable rules and place of execution. DSC holders should retain control of their signing credentials.

Coordinate capital and reporting

Agree the remittance and supporting-document process with the Authorised Dealer bank before funds arrive. Track receipt, allotment, pricing and reporting separately.

For reportable company equity issues, FC-GPR is due within 30 days of issue. For reportable transfers, FC-TRS generally runs from the earlier of transfer or receipt/remittance of funds—not simply 60 days after transfer. LLP investment uses the applicable LLP reporting forms.

Check annual FLA reporting applicability separately; it should not be described as compulsory for every entity with any overseas connection.

Establish tax and operating compliance

Assess PAN, TAN, GST, labour, professional-tax, sectoral and trade registrations according to the actual activities. IEC is not a blanket requirement for every cross-border service provider.

Review permanent-establishment exposure, withholding, treaty eligibility, related-party pricing and repatriation documentation. Under the 2026 form schedule, treaty particulars, transfer-pricing reporting and remittance information use the relevant renumbered forms. Neither an overseas payment nor a treaty claim automatically requires every listed certificate.

For exporters, RBI’s amended framework effective 1 October 2026 generally specifies nine months for realisation and repatriation, with twelve months where exports are invoiced or/and settled in INR. Warehouse exports, project exports and extensions require their specific rules.

Discuss your entry plan

A useful first consultation identifies the activity, investor jurisdiction, proposed vehicle, funding and target commencement date.
